  • Business: a Bengaluru-based maker of thermal imaging and electro-optical defence systems, selling in India and abroad.

  • On TopFund: the Tonbo Imaging IPO page tracks live subscription and GMP, and the allotment checker shows your result with just your PAN.

The Tonbo Imaging IPO is an ₹852 crore offer for sale at ₹665 to ₹700 a share, open from 15 to 19 Oct 2026, with a minimum bid of 21 shares (₹14,700). The company receives no money from it. About 75% of the shares on offer come from two CEAQ entities, the group Tonbo was spun out of.

Tonbo Imaging is a defence electronics company coming to market as a pure offer for sale, and the issue was subscribed 7.77 times within two days. If you are deciding whether to bid, this guide puts the prospectus facts, the subscription numbers and the risks in one place.

Everything here comes from the company's Red Herring Prospectus (RHP) and exchange filings, explained in plain words. If you are new to IPOs, start with how the IPO allotment process decides who gets shares.

Tonbo Imaging IPO details: dates, price band and lot size

The Tonbo Imaging IPO price band is ₹665 to ₹700, the lot size is 21 shares, and the issue closes on Monday, 19 Oct 2026. All 1,21,74,046 shares are sold by existing shareholders, so the Tonbo Imaging IPO size of ₹852.18 crore at the top of the band goes to them, not the company.

What does Tonbo Imaging do?

Tonbo Imaging designs electro-optical and infrared (thermal imaging) systems for defence, which let users see in darkness, smoke and haze. It owns the designs and software but outsources large-scale manufacturing to contract electronics makers.

The RHP describes sensing, processing, communication and guidance systems in three product categories:

  • Tactical systems: its biggest line, 58.37% of FY26 revenue, down from 77.24% in FY25 and 83.90% in FY24.
  • Platform systems: systems built for larger defence platforms, the second category.
  • Directed energy: the third category in the RHP's product list.

The RHP notes its systems are non-ITAR, meaning they are not bound by US arms export rules that can limit resale to other countries. That matters for export customers. With the business clear, the next question is who owns it and who is cashing out.

Who owns Tonbo Imaging, and who is selling in the IPO?

Tonbo Imaging's largest shareholders are CEAQ Technologies of Singapore (25.47%), HBL Engineering (14.25%) and CEAQ Technologies India (8.73%), while the promoter founders together hold about 17%. Promoter Arvind Kondangi Lakshmikumar holds 8.67%.

CEAQ is the research group Tonbo came out of. In March 2024, Tonbo bought a set of imaging and sensor designs from CEAQ Singapore for ₹183.19 crore, and stopped paying it royalties. That is a related-party deal worth reading about in the RHP.

Here is who is selling and what they paid per share on average, from the RHP's selling shareholder table:

Selling shareholder Shares offered Average cost per share
CEAQ Technologies Pvt Ltd (India) 49,98,100 Nil (bonus shares)
CEAQ Technologies Pte Ltd (Singapore) 41,55,096 ₹0.27
Arvind Kondangi Lakshmikumar (promoter) 11,50,000 Nil
Ankit Kumar (promoter) 5,80,000 ₹33.91
Vinimaya Advisory LLP (promoter group) 3,39,700 ₹197.06
Cecilia D'Souza (promoter) 2,30,000 ₹33.91
Four other investors 5,70,650 Negligible to ₹172.73

The two CEAQ entities sell 91,53,196 shares, about 75% of the offer, and CEAQ India sells its entire stake. Low acquisition costs are normal for founders and early backers. They tell you who gains most at ₹700, not whether ₹700 is fair.

Before the IPO, on 29 and 30 Sep 2026, CEAQ Singapore also sold 7,44,800 shares to Susquehanna Asia Technology and Malabar India Fund at ₹700, the same as the upper band.

Tonbo Imaging IPO anchor investors: who came in at ₹700

The Tonbo Imaging IPO anchor investors bought 36,48,013 shares at ₹700 on 14 Oct 2026, worth ₹255.36 crore. Anchors are large institutions that commit a day before the issue opens, so retail investors can see who backed the price.

According to the company's anchor allocation letter to BSE, 57.72% of the anchor shares went to 12 domestic mutual funds through 25 schemes. The largest allocations were to SBI Infrastructure Fund and ICICI Prudential Smallcap Fund, at 2,49,690 shares each.

Anchor shares are locked in under SEBI rules: half for 30 days and half for 90 days from allotment. If allotment happens on 21 Oct, those windows end around 20 Nov 2026 and 19 Jan 2027. Watch the share price around those dates, as some anchors may sell.

Tonbo Imaging financials: why revenue and profit fell in FY26

Tonbo Imaging's revenue fell 22.7% to ₹362.65 crore in FY26 and profit fell 30.1% to ₹50.88 crore, mainly because its biggest European customer placed no new orders. The June 2026 quarter then showed a loss.

Restated, ₹ crore FY24 FY25 FY26 Apr to Jun 2026
Revenue from operations 428.19 469.08 362.65 36.01
Profit after tax 68.54 72.76 50.88 (17.74)
Diluted EPS (₹) 13.63 12.70 8.88 (3.20)
Net worth 230.13 490.14 553.16 538.54
Return on equity 52.72% 20.20% 9.75% (3.25%), not annualised

The RHP explains the fall. Tonbo executed a USD 55 million European order received in FY24, but got no new order from that customer in FY25 or FY26. Revenue from Europe dropped from 65.34% of the total in FY25 to 0.13% in FY26.

The company also says some export orders were pushed from FY26 into FY27 because of the West Asia conflict. Its confirmed order book stood at ₹314.24 crore on 30 Jun 2026, about 87% of FY26 revenue.

This is a lumpy, tender-driven business. Its largest single customer was 57.07% of revenue in FY25, 13.78% in FY26 and 54.74% in the June 2026 quarter.

Tonbo Imaging IPO valuation: what you pay at ₹700

At ₹700, the Tonbo Imaging IPO values the company at about ₹4,010 crore, or 78.8 times its FY26 diluted earnings per share of ₹8.88. That sits in the middle of its listed defence electronics peers.

Of those peers, the RHP gives a return on net worth only for Data Patterns: 17.00%, against Tonbo's 9.75%.

Company P/E (7 Oct 2026 close) Return on net worth
Tonbo Imaging (at ₹700) 78.8x 9.75%
Paras Defence and Space 117.74x Not given
Data Patterns (India) 87.29x 17.00%
Astra Microwave Products 83.92x Not given
Zen Technologies 73.44x Not given
Bharat Electronics 45.70x Not given

The peer figures are from the RHP's basis for offer price section, using exchange filings. Tonbo's 78.8x is our calculation: ₹700 divided by FY26 diluted EPS of ₹8.88.

A P/E of 78.8x on a year when earnings fell 30% means investors are paying for a recovery that has not shown up in the numbers yet. The June quarter loss makes the trailing figure look higher still.

Our checklist for evaluating an IPO before applying walks through these trade-offs.

Strengths and risks of the Tonbo Imaging IPO

The case for Tonbo Imaging rests on its own technology and export reach. The case against rests on lumpy orders, customer concentration and a price that assumes a rebound.

Strengths (from the RHP) Risks (from the RHP's risk factors)
Owns its designs and IP; non-ITAR systems sell into export markets Business is cyclical, tied to geopolitics and government budgets
Supplies qualify as Indigenously Designed, Developed and Manufactured (IDDM) under India's defence procurement rules Short-term, non-recurring contracts; top 5 customers were 92.06% of June 2026 quarter revenue
Asset-light model using contract manufacturers Depends on a limited set of global suppliers for critical components
Order book of ₹314.24 crore on 30 Jun 2026 Export-dependent; Europe revenue fell from 65.34% to 0.13% in one year
Backed by 12 domestic mutual funds in the anchor round 100% OFS: no fresh money for growth, and early holders exit near zero cost

The IDDM status needs the company to stay owned and controlled by resident Indian citizens, the RHP notes. That ownership rule is also why Tonbo counts as an Indian company for defence orders.

Tonbo Imaging IPO subscription status and GMP

The Tonbo Imaging IPO subscription stood at 7.77 times overall by 5 pm on 16 Oct 2026, day 2 of 3, according to NSE's consolidated bid data. High net worth bidders led, and retail was already over 7 times.

Why is it so high so early? Reddit's r/IPO_India asked the same thing. Institutions often bid on the last day, so the big jumps usually come then. Here NII bidders came early, a pattern common in IPOs with a high grey market premium.

On the Tonbo Imaging IPO GMP: TopFund's tracker showed ₹500 as of 16 Oct 2026, 6 pm.

GMP is an unofficial grey market price, not regulated by SEBI or the exchanges, and it changes daily. It is not a forecast of the listing price.

Our guide to what IPO GMP is and whether to trust it explains why.

Who might consider the Tonbo Imaging IPO, and who may skip it

This is not a buy or avoid call. Whether the Tonbo Imaging IPO fits you depends on your time horizon and your comfort with lumpy, export-driven defence revenue. These questions help you decide.

It may fit your thinking if:

  • You have a long horizon and can hold through quarters with no big order.
  • You understand the business is tender-driven and accept customer concentration.
  • You are comfortable paying about 79x trailing earnings for a possible order recovery.

You may want to skip or wait for listing if:

  • You are applying only for listing gains based on GMP.
  • You need steady, predictable earnings growth.
  • You are uneasy that the company gets no money and early holders sell at near-zero cost.

A Tonbo Imaging IPO review based on the RHP shows a real business with real risks. The decision depends on which of those weighs more for you.

How to apply for the Tonbo Imaging IPO and check your bid

You can apply through your broker's app using UPI, or through net banking (ASBA), until 19 Oct 2026; the UPI mandate must be approved by 5 pm that day. If the mandate is not approved, your bid does not count.

  1. Open the IPO section in your broker or bank app, pick Tonbo Imaging and enter your lot count.
  2. Choose the cut-off price, so your bid stays valid at ₹700.
  3. Approve the mandate in your UPI app. The amount is blocked, not debited.
  4. Check the bid on the exchange: NSE and BSE show bid status with your PAN or application number.
  5. After 21 Oct, check allotment with your PAN on TopFund.

Our step-by-step guide on how to apply for an IPO online covers each app screen. Apply once per PAN, as two bids from the same PAN can both be rejected.

Tonbo Imaging IPO allotment odds example: 2,02,667 retail winners

At most 2,02,667 retail applicants can get a Tonbo Imaging lot, so your odds depend on how many valid retail applications come in. If the retail category is oversubscribed, a computerised draw gives each winner one lot of 21 shares.

Assumptions: retail portion of 42,56,017 shares (NSE, 16 Oct 2026) divided by 21 shares per lot. The 25x and 50x rows are illustrative, not forecasts. We assume every retail applicant bids for one lot, which gives the worst-case odds.

Retail subscription Retail applications (one lot each) Maximum winners Your odds
7.12x (actual, 16 Oct 5 pm) about 14.4 lakh 2,02,667 about 1 in 7
25x (illustrative) about 50.7 lakh 2,02,667 1 in 25
50x (illustrative) about 1.01 crore 2,02,667 1 in 50

Many people bid for more than one lot, so real application counts are lower and real odds a little better. Bidding 13 lots instead of 1 does not raise your chance; the registrar's final Basis of Allotment shows the true number.

The bottom line on the Tonbo Imaging IPO

Tonbo Imaging is a genuine Indian defence technology company with its own IP, export customers and a ₹314 crore order book. But its biggest European customer stopped ordering, profit fell 30%, and it is priced at about 79 times earnings in a sale that pays only existing holders.

It suits investors who understand order-driven defence businesses and can wait for a recovery. Skip or wait if you want steady earnings or are bidding on GMP alone.

Frequently Asked Questions

Is Tonbo Imaging listed on the stock market?

No, not yet. Tonbo Imaging India Limited is going public through this IPO, which closes on 19 Oct 2026. If the timetable holds, its shares should start trading on NSE and BSE on or about Friday, 23 Oct 2026. Until then, there is no official share price.

What will the Tonbo Imaging listing price be?

No one can know the listing price in advance. It is set by buying and selling on listing day, 23 Oct 2026. The grey market premium is unofficial and has often been wrong. The RHP gives the issue price range of ₹665 to ₹700 only, not any listing estimate.

Is Tonbo Imaging an Indian company?

Yes. Tonbo Imaging India Limited is incorporated in Bengaluru, Karnataka. Its supplies qualify as IDDM under India's defence procurement rules, which require it to be owned and controlled by resident Indian citizens. Its large shareholder CEAQ has entities in India and Singapore.

At what time is the Tonbo Imaging IPO allotment released?

The basis of allotment is expected on 21 Oct 2026. Under SEBI's T+3 timeline it is finalised that evening, and results from registrar KFin Technologies usually appear the same night. Check with your PAN on TopFund. Refunds and demat credit follow on 22 Oct.

Why is the Tonbo Imaging IPO subscribed so much already?

On day 2 it was 7.77 times subscribed, led by NII bidders at 14.35 times. Early demand like this is common when the grey market premium is high. Heavy subscription shows demand for shares, not that the price is fair. Final numbers come after 5 pm on 19 Oct.

Is it safe to apply for an IPO like Tonbo Imaging?

Applying through a SEBI-regulated broker or bank using ASBA is safe as a process: your money stays in your account. The investment itself carries market risk. Tonbo's revenue swings with defence orders, and the listing price can fall below ₹700. Invest only money you can keep invested.
